An Alumni Association Opinion Piece – The CBL
If there is anything that can easily catch the attention of anyone serious about our current CBL – it is that the work is unique as a legal document.
In the “President's Message” in the www.uermmmc.org site, she said “The Constitution and By-Laws (CBL) (sic) Committe had an assigned task from Dr. Susan Suntay, as President (2010-2012) of reviewing our current CBL and bringing it into compliance with the State of Missouri Laws where MAAAI was registered as a 501 (c)(3).
She said “The CBL Committee found many overlaps, redundancies and grammatical errors with our past CBL and it needed to be amended to be in compliance with the State of Missouri Laws”.
She further said: “Therefore, in order to come up with a corrected and legally compliant CBL, the committee decided to do an entire "overhaul" of our existing CBL,”
Thus, initiated by her decree, we now have an overhauled CBL.
Did this new document fulfill her “compliance” goal? Did this new document remove supposed overlaps and redundancies of the previous?
This new one has so much repetitiveness and overlaps it could pass for a nursery rhyme.
If you are weird, like me, who often read materials starting at the end, one can easily feel nostalgic for the missing Article XII. DISSOLUTION of the replaced CBL:
Section
1. In the event of dissolution of this Association, the membership
will be notified and approval obtained by two-thirds majority vote,
thirty days prior to dissolution.
Section 2. Liabilities
will be resolved and funds donated to chosen non-profit and
charitable organization(s).
This Article XII is a requirement by the State of Missouri for CBLs' of 501 (c)(3) organizations. In this overhaul poof! Its gone, just like that.
One would then have doubts if one of the two stated goals of this overhaul is really for compliance.
And as one reads the new CBL closely, it become apparent that it is basically an opinion piece intended to mollify a president's medical license emotional difficulties, rather than the supposed overhaul's stated purpose.
